A RESOLUTION OF THE BOARD OF DIRECTORS OF LUMMI ISLAND SCENIC ESTATES COMMUNITY CLUB, INC. (hereinafter "LISE") AMENDING THE LISE CORPORATE HANDBOOK (also referred to as the "BOOKLET" in Part 1 referenced below) TO ACCURATELY DESCRIBE THE LISE GOVERNING DOCUMENTS CONTAINED THEREIN AND AMENDING/EDITING THE CORPORATE HANDBOOK TO MORE ACCURATELY DESCRIBE THE LISE GOVERNING DOCUMENTS SO AS TO AVOID CONFUSION.

WHEREAS, LISE has a CORPORATE HANDBOOK (the front cover of the HANDBOOK currently identifies the contents as "GOVERNING DOCUMENTS AND PERSONNEL POLICY HANDBOOK") consisting of seven parts and which contains or attempts to recite various documents pertaining to governance of properties and members of LISE including for example, Part 2 (LAND COVENANTS), Part 3 (ARTICLES OF INCORPORATION), Part 4 (BYLAWS), Part 5 (RULES AND REGULATIONS), Part 6 (GUIDELINES FOR MULTIPLE USE LOTS), Part 7 (POLICY STATEMENTS), AND

WHEREAS, Part 1 (INTRODUCTION), includes a definition section containing definitions of terms used throughout the CORPORATE HANDBOOK which generally identifies all documents contained in Parts 1 through 7 as "THE BYLAWS 2000" and which, has led to confusion in that only Part 4 of the CORPORATE HANDBOOK contains the actual Bylaws of LISE, AND

WHEREAS, certain parts of the CORPORATE HANDBOOK attempt to recite in typewritten format what is contained in the actual governing document (i.e.: Part 3, ARTICLES OF INCORPORATION, Part 2 LAND COVENANTS) which is not necessary and which has the potential for confusion, inaccuracies and inconsistencies, AND

WHEREAS, the Board of Directors for LISE would like to avoid any further confusion relating to the LISE governing documents contained in Parts 1-7 by accurately identifying the documents contained in the various parts of the CORPORATE HANDBOOK by their correct name (i.e.: Part 3 shall be identified as the ARTICLES OF INCORPORATION) and by amending, editing, and reformatting the governing documents to eliminate typewritten summaries, interpretation or duplication of what is in the actual governing document (i.e: Part 3 to simply set forth the actual ARTICLES OF INCORPORATION, eliminating the typewritten summary),

NOW THEREFORE BE IT RESOLVED BY THE BOARD OF DIRECTORS OF LUMMI ISLAND SCENIC ESTATES COMMUNITY CLUB AS FOLLOWS:

(1) The only Part of the LISE CORPORATE HANDBOOK to be described as "Bylaws" shall be Part 4, the actual Bylaws of LISE with all other Parts of the CORPORATE HANDBOOK being hereby amended to accurately identify the governing document contained therein by its correct name (i.e.: Part 3 shall be identified as the ARTICLES OF INCORPORATION, Part 5 shall be identified as the RULES AND REGULATIONS, etc.).

(2) Where possible and feasible the only documents to be contained in the CORPORATE HANDBOOK shall be the actual governing document rather than a typewritten summary, interpretation or duplication (i.e.: Part 3 shall only include a copy of the ARTICLES OF INCORPORATION).

(3) The LISE staff and Board will work to implement the effect and intent of this resolution by amending/editing the LISE CORPORATE HANDBOOK. NOTWITHSTANDING that it will take some time to amend, edit and reformat the CORPORATE HANDBOOK to implement the changes directed herein the changes shall take effect immediately upon passage of this Resolution by the Board of Directors.

RESOLUTION PASSED AND APPROVED THIS 22nd DAY OF FEBRUARY, 2015 BY A VOTE OF FOUR (4) VOTES IN FAVOR AND ZERO (0) VOTES AGAINST BY THE BOARD OF DIRECTORS OF LUMMI ISLAND SCENIC ESTATES COMMUNITY CLUB.
